Golden Goose Resources Corp. Closes First Tranche of Private Placement Raising Over $1 Million
VANCOUVER, B.C. — October 29, 2026 — Leads & Copy — Golden Goose Resources Corp. (CSE: GGR) has successfully closed the first tranche of its non-brokered private placement, raising $1,033,000 through the issuance of 10,330,000 units. This funding is earmarked for advancing exploration at the Gran Esperanza property and supporting corporate operations and working capital requirements.
Dustin Nanos, CEO and Director of Golden Goose Resources Corp., expressed satisfaction with the private placement's first tranche, highlighting the support from shareholders and investors. He stated that the funds will facilitate exploration at Gran Esperanza while also covering ongoing corporate needs. The company remains committed to generating value through strategic exploration and the systematic development of its mineral projects.
Each unit in the First Tranche comprises one common share and one-half of a transferable common share purchase warrant. These warrants grant holders the right to purchase a common share at $0.20 until October 29, 2028. A warrant acceleration right is included, allowing the company to shorten the expiry date if the common shares trade at a weighted average price of $0.35 or higher for ten consecutive trading days. If exercised, the new expiry date will be 30 days after the announcement.
In connection with the First Tranche, the Company paid $24,090 in cash finder’s fees and issued 240,900 broker warrants to eligible finders. These broker warrants are exercisable into common shares under the same terms as the regular warrants.
The proceeds from the First Tranche are intended for exploration at the Gran Esperanza property, general working capital, including marketing and investor relations, and settling ordinary course payables to related parties. Securities issued in this tranche, and their underlying securities, are subject to a hold period ending on March 2, 2027.
This First Tranche is part of a larger non-brokered private placement initially announced on October 14, 2026, which aimed to raise up to $1,500,000 through the issuance of 15,000,000 units. Golden Goose Resources Corp. reserves the right to close additional tranches and potentially raise an additional $2.5 million by issuing up to 25,000,000 units on the same terms, subject to regulatory compliance and CSE policies.
The private placement involved related party transactions, with Dustin Nanos indirectly acquiring 1,200,000 units for $120,000 through a holding company, and Troy Baker acquiring 500,000 units for $50,000. These transactions qualified for exemptions from formal valuation and minority shareholder approval requirements under MI 61-101, as the fair market value of the securities and consideration did not exceed 25% of the Company's market capitalization. The Company opted not to file a material change report more than 21 days prior to closing to expedite the completion of the First Tranche for business reasons.

Its portfolio includes the right to acquire 100% of the Gran Esperanza property (44,400 hectares) in the Los Menucos District, the right to acquire 100% of the Goldfire Property (4,680 hectares) near Gold Field Ltd.'s Windfall Project, and a controlling interest in the El Quemado Project (8,000 hectares) in Salta Province, Argentina.
