Spectre Capital Corp. Secures C$100,000 Loan for Qualifying Transaction Expenses

October 8, 2026 — Leads & Copy — Spectre Capital Corp. (“Spectre” or the “Company”), a capital pool company, has secured a non-interest bearing, unsecured grid promissory note from Northern Rare Earth Corp. (“NREC”) for up to C$100,000. This loan, referred to as the “Loan,” is specifically earmarked to cover the Company’s direct, bona fide, third-party transaction expenses related to its proposed qualifying transaction (the “QT”) with NREC.

The terms of the Loan allow for multiple advances, each requiring NREC’s prior written approval. The full outstanding principal balance of the Note will be due upon the completion of the QT. At this juncture, the debt will be settled as an intercompany balance through an amalgamation. Should the QT not proceed to closing or the definitive amalgamation agreement be terminated as per its conditions, the outstanding amount will be fully forgiven, with NREC having no claim against Spectre's initial public offering proceeds, seed capital, or escrowed funds.

This transaction is considered arm’s-length, and no finder’s fees, commissions, or other compensation are being paid in connection with the Loan. Spectre Capital Corp. is also known by the ticker (TSX-V: SOO.P).

Trading in the common shares of Spectre Capital Corp. has been halted by the TSX-V in accordance with its policies. Trading will remain suspended while the TSX-V reviews the proposed QT and until the conditions for trading resumption are met. It is possible that trading in Spectre Shares will not resume before the closing of the QT.
