Edgewater Wireless Systems Inc. Announces Second Tranche of Private Placement

OTTAWA, Ontario — August 28, 2026 — Leads & Copy — Edgewater Wireless Systems Inc. is proceeding with a second tranche of its non-brokered private placement, aiming to raise up to $1,000,000 through the sale of up to 16,666,667 Units at $0.06 per Unit. The offering includes an additional 15% over-allotment option of up to 2,500,000 units. Each Unit comprises one common share and one common share purchase warrant. These warrants grant the holder the right to purchase an additional common share at $0.09 per share for two years from the closing date.

The company intends to utilize the net proceeds from this offering for semiconductor design, engineering, and product development related to its Spectrum Slicing™ prototype. A portion of the funds will also be allocated to general working capital. Edgewater Wireless may adjust the allocation of proceeds based on business development needs.
