ANGKOR Resources Corp. Completes Definitive Agreement to Sell Saskatchewan Oil and Gas Lands

GRANDE PRAIRIE, ALBERTA — January 5, 2026 — Leads & Copy — ANGKOR Resources Corp. has finalized an agreement to sell its 40% stake in the Evesham Macklin oil and gas lands in Saskatchewan for $4.8 million.

The sale, which is expected to close on January 30, 2026, involves an arm's length party referred to as the "Purchaser."

ANGKOR Resources Corp. acquired the Assets through its subsidiary EnerCam Exploration Ltd. on December 12, 2023. The Purchaser had provided a $3.8 million loan to fund the acquisition.

The agreement, signed on December 31, 2025, follows the initial announcement of the Letter of Intent to sell Evesham oil production, which was disclosed on December 15, 2025.

The terms of the agreement include a $250,000 non-refundable deposit paid on December 19, 2025, and a $375,000 payment due on the January 30, 2026 closing date. The balance of the loan will be applied to the purchase price on the closing date, with a final payment of $375,000 scheduled for March 1, 2026. All profit entitlements, operating commitments, and capital commitments related to the Assets after October 1, 2025, will accrue to the Purchaser.

The transaction is contingent upon shareholder approval, to be confirmed at the Company's Annual General Meeting on January 29, 2026, and the receipt of all necessary regulatory approvals from the stock exchange. No finder’s fees were paid on the transaction.
