Ironman International Ltd. Subsidiary Enters New Lease Agreement

LANGLEY, BC — August 6, 2026 — Leads & Copy — Ironman International Ltd. (TSXV: IMI) (OTCQB: IMITF) has announced that its wholly-owned subsidiary, 1097195 B.C. Ltd. (“109”), has secured a new lease agreement for premises located at 7284B Highway 97B, Salmon Arm, BC. The lease is with MDM Farms, an entity controlled by Mike Irmen and Denise Irmen, and the monthly rent will be $10,500 plus applicable GST. The agreement has an initial term ending December 31, 2027, with an option for a two-year renewal.

The premises will be subleased by 109 to another wholly-owned subsidiary of Ironman, Ironman Directional Drilling Ltd. (“IDD”). This new lease replaces a prior agreement IDD had with MDM Farms dating back to December 1, 2023. As part of the transition, 109 has made an upfront payment of $52,500 to MDM Farms, covering the lease fees from March 1, 2026, up to the current date.

Under a termination agreement also executed between IDD and MDM Farms, $36,000 in additional payments previously made under the prior lease will be credited towards the lease fees of the new agreement.

The company has determined that the termination and new lease agreements constitute a “related party transaction” under MI 61-101, as Michael Irmen, a director of Ironman, is also an owner of MDM Farms. Ironman has utilized exemptions from the valuation and minority shareholder approval requirements of MI 61-101, citing that the transactions do not exceed 25% of the company's market capitalization. The company opted not to file a material change report more than 21 days prior to entering these agreements, stating that the terms were finalized shortly before execution and an expedited process was desired for sound business reasons.
