CleanGo Innovations Terminates Acquisition of Freia Farmaceutici Srl

Vancouver, B.C., Houston, Texas — March 9, 2026 — Leads & Copy — CleanGo Innovations Inc. has decided not to proceed with the acquisition of Freia Farmaceutici Srl, following a period of extensive due diligence.

The decision concludes a comprehensive evaluation process. While the Company recognizes the professional standing of Freia Farmaceutici Srl, the acquisition was ultimately determined not to align with the current strategic growth model of Kubera Black, a wholly-owned subsidiary of CleanGo Innovations Inc.

The company previously announced a non-binding LOI with Freia Farmaceutici Srl on December 17, 2025.

The decision to move on from this acquisition was driven by a focus on capital efficiency and time-to-market.

According to the company, after thorough review, it was determined that Freia Farmaceutici Srl did not fit the specific high-growth targets currently mandated by the Company’s board. The internal assessment concluded that the time and capital required to launch and scale the entity globally were excessive given the current global competitive landscape.

CleanGo Innovations has decided to prioritize and pursue higher-growth properties that offer a more immediate fit for its global expansion strategy.

The leadership team at CleanGo Innovations stated that their decision is strictly based on their internal high-growth model and investment criteria. They added that there is nothing inherently wrong with Freia Farmaceutici Srl, and wished them the very best of luck in all their future endeavors as they pivot their focus toward assets that better suit their rapid-scale objectives.

CleanGo Innovations and Kubera Black remain committed to a disciplined acquisition strategy. By electing not to move forward with this transaction, the Company preserves its capital position and executive bandwidth to focus on more immediate, high-growth opportunities within its pipeline.
