Emergent Metals Announces Private Placement and Director Resignation
Vancouver, British Columbia — November 14, 2025 — Leads & Copy — Emergent Metals Corp. plans to raise up to CDN$500,000 through a non-brokered private placement, offering up to 10,000,000 units at CDN$0.05 each.
Each unit will comprise one common share and one transferable common share purchase warrant. A whole warrant allows the holder to acquire one share at CDN$0.10 for 24 months from the issue date.
Certain company insiders may participate in the offering, potentially creating a "related party transaction" under Multilateral Instrument 61-101, but the company anticipates exemptions from formal valuation and minority shareholder approval due to the transaction's size relative to Emergent's market capitalization.
Emergent intends to allocate the net proceeds to general working capital. Finder’s fees may be paid on a portion of the offering, contingent on TSX Venture Exchange policies and securities legislation. The offering's closing is subject to TSX Venture Exchange approval, and issued securities will have a four-month statutory hold period.
In addition to the financing announcement, Joseph Mullin has resigned as a director of the company, effective November 19, 2025. Consequently, he will not stand for election at Emergent’s Annual General Meeting on December 11, 2025.
Emergent is focused on gold and base metal exploration in Nevada and Quebec, employing an acquisition and divestiture business model.
Key Nevada properties include the Golden Arrow Property, an advanced-stage gold and silver project with a well-defined resource, New York Canyon, and the West Santa Fe Property.
In Quebec, the Casa South Property is near Hecla Mining Company’s Casa Berardi Mine and IAMGOLD Corporation’s Gemini Turgeon Property. The Trecesson Property is located north of the Val d’Or mining camp. Emergent holds a 1% NSR in the Troilus North Property and a 1% NSR in the East-West Property and the York Property.
