Baru Gold Increases Private Placement Offering to $1.3 Million

Vancouver, BC — July 11, 2025 — NewsWall — Baru Gold Corp (BARU: TSX.V | BARUF: OTCQB) has announced an increase to its non-brokered private placement, raising the offer to up to 15,294,118 units at $0.085 per unit, for total proceeds of $1,300,000.

The funding will support working capital and pre-production expenses, enabling an accelerated startup timeline. Each unit includes one common share and one non-transferable common share purchase warrant, with each warrant allowing the holder to purchase an additional share at $0.115 within two years.

The initial offering was fully committed, and the company decided to increase it from $799,000 to $1,300,000 due to additional requests. The financing is expected to close on or before July 18, 2025.

The private placement is subject to regulatory approval and a four-month hold period under Canadian securities laws. All funds are in Canadian dollars, and finders' fees may be paid in cash or securities.

Insiders' participation constitutes a "related party transaction" under MI 61-101 but is exempt from formal valuation and minority shareholder approval requirements as the value of securities acquired does not exceed 25% of the company's market capitalization.

The Sangihe Gold Project, located on the Indonesian island of Sangihe, covers approximately 25,000 ha. A National Instrument 43-101 report supports mining planning and production schedules for an area within the 65-hectare area targeted for initial production. Only 10% of the gold-bearing area has been explored.
