Omineca Mining and Metals Ltd. Upsizes Private Placements to $1.3 Million

Saskatoon, Saskatchewan — October 8, 2026 — Leads & Copy — Omineca Mining and Metals Ltd. (TSXV: OMM) announced Friday it has upsized its concurrent non-brokered private placements to raise $1.3 million in aggregate gross proceeds, an increase from the previously announced $1 million. The terms of the offerings remain unchanged.

The offerings will now include 14,702,000 common share units at a price of $0.05 per unit for gross proceeds of $735,100, and 9,414,998 flow-through units at a price of $0.06 per flow-through unit for gross proceeds of approximately $564,900. All other terms were consistent with those disclosed in the Company’s September 10, 2026 news release.

Closing of the offerings is contingent upon the acceptance of the TSX Venture Exchange and other customary closing conditions. Insiders of the Company are participating in the offerings, which constitutes a “related party transaction” under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions. The Company is relying on exemptions from formal valuation and minority shareholder approval requirements, as neither the fair market value of the securities to be issued nor the consideration to be paid by insiders exceeds 25% of the Company’s market capitalization. The Company did not file a material change report more than 21 days before the expected closing date due to the insider participation details not being confirmed at that time, and the desire to expedite the offerings for sound business reasons.

The securities offered have not been registered under the United States Securities Act of 1933, as amended, or any state securities laws. They may not be offered or sold within the United States or to U.S. persons unless registered or an exemption from registration is available.

Omineca’s flagship Wingdam project, located east of Quesnel, British Columbia, encompasses 61,392 hectares and over 15 linear kilometers of placer claims. The project targets placer gold-bearing gravels in the Lightning Creek valley, preserved beneath thick overburden. The Company is also exploring for potential hard rock sources of this placer gold.

Additionally, Omineca’s Fraser Canyon Project, northwest of Quesnel, is slated to reinitiate underground paleochannel development for placer gold recovery. Historically, mines in this area produced 1,482 ounces of raw placer gold.
