Omineca Mining and Metals Ltd. Upsizes Private Placement to $1.3 Million
Saskatoon, Saskatchewan — October 8, 2026 — Leads & Copy — Omineca Mining and Metals Ltd. (TSXV: OMM) announced an increase in its concurrent non-brokered private placements, raising up to $1.3 million in aggregate gross proceeds, an increase from the previously announced $1 million. The terms of the offerings remain the same.
The upsized offerings will include the sale of 14,702,000 common share units at $0.05 per unit, generating $735,100 in gross proceeds, and 9,414,998 flow-through units at $0.06 per flow-through unit, for gross proceeds of approximately $564,900. All other terms of these offerings were previously disclosed in the Company’s news release dated September 10, 2026.
The closing of these offerings is contingent upon acceptance by the TSX Venture Exchange and the fulfillment of other standard closing conditions.
Participation in the offerings includes certain insiders of the Company, which is considered a “related party transaction” under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). Omineca is availing itself of exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101, specifically sections 5.5(a) and 5.7(1)(a). These exemptions apply because the fair market value of the securities issued to insiders and the consideration paid by them do not exceed 25% of the Company’s market capitalization. The Company opted not to file a material change report more than 21 days prior to the anticipated closing date of the offerings, as the specifics of insider participation were not yet confirmed. The Company aims to expedite the closing of the offerings for sound business reasons.
The securities offered have not been and will not be registered under the United States Securities Act of 1933, as amended, or any state securities laws. Consequently, they cannot be offered or sold within the United States or to U.S. persons, as defined in Regulation S, unless registered under the U.S. Securities Act and applicable state securities laws, or an exemption from such registration is available. Omineca’s primary projects, the Wingdam hard rock exploration and placer gold recovery projects, are situated along the Barkerville Highway, 45 kilometers east of Quesnel, British Columbia. The Wingdam Property encompasses mineral tenures covering 61,392 hectares (613 square kilometers) and over 15 linear kilometers of placer claims. These holdings are located in the Lightning Creek valley, characterized by thick overburden that has preserved a significant buried paleochannel containing placer gold-bearing gravels. Historically, two mines in proximity to the Fraser River produced a combined total of 1,482 ounces of raw placer gold.
