Panorama Capital Corp. and Mogul Mountain Ventures Corporation Receive Conditional TSXV Acceptance for Proposed Business Combination
Vancouver, BC – August 5, 2026 – Leads & Copy – Panorama Capital Corp. (TSX.V: PANO.P) and Mogul Mountain Ventures Corporation have received conditional acceptance from the TSX Venture Exchange (TSXV) for their proposed business combination, which is expected to result in the reverse takeover of Panorama. The companies also announced the filing of a filing statement dated July 30, 2026, on Panorama's SEDAR+ profile.
The Proposed Transaction, once complete, will constitute Panorama's Qualifying Transaction. The deal is anticipated to close on or about August 19, 2026. Following the transaction, the resulting issuer is expected to trade on the TSXV under the new name “Mogul Mountain Ventures Corporation” and the symbol ‘MOGL’.
Final approval from the TSXV is contingent on Mogul and the resulting issuer fulfilling certain customary conditions required by the exchange. Panorama will issue a further press release once the TSXV confirms the expected trading commencement date for the resulting issuer shares.
Andy Edelmeier, Mogul CEO & Director, expressed optimism about the TSXV's conditional acceptance, stating it brings them closer to executing their strategy. He highlighted a strong treasury and multiple high-priority drill targets, looking forward to the public listing and the commencement of an inaugural drill program at the Rays–West Dome Project.
Carson Sedun, Panorama CEO & Director, called the conditional acceptance an important milestone, expressing gratitude to the TSXV for their assistance and to Panorama shareholders for their continued support. He anticipates trading on the TSXV as a new mining issuer in the coming weeks.
Further details on the Proposed Transaction can be found in the Filing Statement, available on Panorama’s SEDAR+ profile. Previous news releases regarding the transaction were issued on January 5, 2026, March 2, 2026, and May 28, 2026.
