New Age Metals Closes $1 Million Private Placement
Vancouver, BC - September 16, 2026 - Leads & Copy — New Age Metals Inc. (TSXV: NAM) (OTCQB: NMTLF) (FSE: P7J) has successfully closed a non-brokered private placement, raising $1,000,000 in gross proceeds. The offering involved the issuance of 5,000,000 units at $0.20 per unit.
Each unit comprises one common share and one-half of a share purchase warrant. Each whole warrant grants the holder the right to purchase an additional common share at an exercise price of $0.25 for a period of 24 months, expiring on September 16, 2028. These warrants are subject to an accelerated expiry clause: if the company's shares trade at or above $0.45 on the TSX Venture Exchange for 10 consecutive trading days before the expiry date, New Age Metals can shorten the warrant expiry to 30 days after providing written notice.
The private placement was conducted using the Listed Issuer Financing Exemption (LIFE) under National Instrument 45-106 - Prospectus Exemptions, as amended by Coordinated Blanket Order 45-935. Consequently, the shares, warrants, and warrant shares issued are free trading.
As part of the closing, the Company paid finder fees totaling $70,000 in cash and issued 350,000 finder's warrants to Ventum Financial Corp. Each finder's warrant allows the holder to purchase a common share at $0.25 per share until September 16, 2028, with the same accelerated expiry provision as the other warrants. These finder's warrants are subject to a regulatory hold period that ends on January 17, 2027. The offering is pending final approval from the TSX Venture Exchange.
