nDatalyze to Participate in SAR Pilot Program
Calgary, AB — March 26, 2026 — Leads & Copy — nDatalyze Corp. (CSE: NDAT) (OTC: NDATF) will participate in the Semi-Annual Reporting (SAR) Pilot Program and provide updates on a potential Reverse Takeover (RTO) and its Epitome sports performance assessment project.
The Canadian Securities Administrators (CSA) recently adopted the SAR Pilot Program. It is implemented through Coordinated Blanket Order 51-933. The program allows eligible venture issuers listed on the Canadian Securities Exchange (CSE) to voluntarily switch from quarterly to semi-annual financial reporting.
nDatalyze aims to lessen the administrative and financial burdens of quarterly reporting by adopting the SAR. This shift would allow management to dedicate more resources to its core technology-driven mental health solutions.
nDatalyze’s fiscal year concludes on February 28. Under the SAR Pilot, the company is not required to file interim financial reports or related Management’s Discussion & Analysis (MD&A) for its first and third quarters.
The company will not file an interim report for the first quarter (Q1) ending May 31, 2026. However, nDatalyze will continue to file audited annual financial statements (due within 120 days of February 28) and six-month interim financial reports (due within 60 days of August 31).
nDatalyze confirms it meets the eligibility criteria for the pilot program, including being a venture issuer with annual revenues less than $10 million and maintaining a clean 12-month continuous disclosure record. The company will continue to report all material changes and significant developments as required under National Instrument 51-102.
Prism Diversified Ltd., the RTO target, informed nDatalyze that its pre-RTO financing is ongoing and that it anticipates executing a definitive agreement soon. Based on Prism's report, nDatalyze is confident the RTO will proceed.
The commercialization report for the Epitome sports performance assessment project is complete. This report informed the marketing approach and included input from executives at ALPS Hockey Academy (Italy), MacLauchlan College (Canada), and Okanagan Hockey (Canada). Feedback from these schools has reinforced the priority order of Epitome’s target markets. It helped clarify the classification of the best person to penetrate those markets, and identify what the pricing/pricing structure needs to include, and the seasonality of the sales cycle.
nDatalyze is evaluating its commercialization options and will provide updates as progress occurs.
