Fidelity Minerals Corp. Announces Private Placement Financing to Fund Peruvian Operations

(TSX-V: FMN | FSE: S5GM | SSE: MNYC) has announced a non-brokered private placement financing aimed at raising up to C$500,000 to support its Peruvian operations and for general working capital. The financing involves the issuance of up to 2,500,000 units at C$0.20 per unit.

Each unit comprises one common share and one-half of a warrant. Each full warrant grants the holder the right to purchase an additional common share at C$0.30 for a period of 24 months following the closing date. The company may accelerate the expiry of these warrants if the closing price of its common shares meets or exceeds $0.60 for 10 consecutive trading days, at which point the warrants would expire 30 days thereafter.

Proceeds from the financing are earmarked for advancing Fidelity Minerals' exploration and community relations programs in Peru, along with contributing to the company's general working capital. Eligible finders will receive finder's fees in compliance with securities laws and TSX Venture Exchange policies.

The transaction is contingent on approval from the TSX Venture Exchange. All securities issued will be subject to a statutory hold period of four months and one day from the closing date. The securities have not been registered under the U.S. Securities Act of 1933, as amended, or any state securities laws, and thus cannot be offered or sold within the United States without registration or an applicable exemption.
