Carrier Connect Completes Acquisition of Morewave's Network Connectivity Assets

VANCOUVER, British Columbia — May 9, 2026 — Leads & Copy — Carrier Connect Data Solutions Inc. (TSX.V: CCDS; OTCQB: CCDSF; WKN: A40XB1) has finalized its acquisition of network connectivity and delivery assets from Morewave Communication Inc., a provider of network connectivity solutions and last mile connectivity services.

The acquisition was executed through Carrier’s wholly owned subsidiary, Carrier Connect Systems Ltd., via an asset purchase agreement dated April 28, 2026, with Morewave. The subsidiary has acquired the assets in accordance with the agreement.

Carrier issued 560,000 common shares to Morewave as consideration for the acquisition. These shares will be released from escrow in four equal installments at 6, 12, 18, and 24 months following the acquisition date of May 8, 2026.

According to Carrier, the transaction was conducted at arm's length, with no finder's fees paid by either Carrier or Morewave.

In other news, Carrier Connect Data Solutions has entered into a six-month social media consulting services agreement with Triomphe Holdings Ltd., operating as Capital Analytica. This agreement is in line with the policies of the TSX Venture Exchange and applicable securities laws. Capital Analytica, an arm's-length service provider, will deliver social media consulting and related investor awareness services for a total fee of $150,000, payable in two equal installments over the term.

The agreement includes an option to renew for an additional six-month term at a rate of $75,000, unless terminated earlier per the agreement’s terms. Capital Analytica currently has no direct or indirect interest in Carrier or its securities, nor does it have any present intention or right to acquire such interest during the engagement, with the exception of a possible future grant of stock options.

Carrier Connect Data Solutions Inc. aims to consolidate Tier II/III data centers internationally, focusing on delivering co-location and data center solutions to AI companies, service providers, enterprises, and small businesses. Carrier emphasizes its carrier-neutral position, ensuring its systems are fully independent and owned outright within its leased spaces. The company’s main markets are Vancouver, Ottawa, and Saint John in Canada, and Perth, Australia, serving clients who utilize its facilities as either their primary or ancillary data centers.
