First Canadian Graphite Receives Conditional Approval for $1 Million Financing
Montreal, QC — March 6, 2026 — Leads & Copy — First Canadian Graphite Inc. has received conditional approval from the TSX Venture Exchange for financing to raise $1,000,000 through the issuance of 2,000,000 flow-through common shares at $0.50.
The company has received subscriptions for $1,025,000, an oversubscription of $25,000. First Canadian Graphite will apply to the TSX Venture Exchange for approval to close the oversubscribed financing and issue 2,050,000 flow-through common shares.
The gross proceeds from the financing will fund an exploration and drill program on the company’s Berkwood Graphite Project in northern Quebec. The funds will be used to incur resource exploration expenses, constituting “Canadian exploration expenses” as defined in subsection 66.1(6) of the Income Tax Act and “flow-through critical mineral mining expenditures” as defined in subsection 127(9) of the Income Tax Act. These expenses will be incurred on or before December 31, 2027, and renounced with an effective date no later than December 31, 2026, to the subscriber of the flow-through common shares. The Company will update shareholders as progress evolves.
A finder fee of $70,000 cash and 140,000 finder warrants, exercisable at $0.50 for two years, has been agreed to be paid/issued.
The closing of the financing is subject to receipt of all necessary regulatory approvals, including from the TSX Venture Exchange. Securities issued under the financing will be subject to a hold period ending four months plus one day following the issuance date, in accordance with applicable securities laws.
First Canadian Graphite confirms there are no undisclosed material facts or material changes related to the company.
