Raymond Van Empel Sells Stake in Lighthouse Gold Inc.

Vancouver, BC, Canada – June 24, 2026 – TheNewswire — Raymond Van Empel has sold 16,000,000 common shares of Lighthouse Gold Inc., formerly Alerio Gold Corp., for $0.21 per share, totaling $3,360,000. The disposition occurred on June 23, 2026, through the facilities of the Canadian Securities Exchange. This transaction is being reported in accordance with Multilateral Instrument 62-104 and National Instrument 62-103, which govern take-over bids, issuer bids, early warning, and insider reporting.

Prior to the sale, Van Empel held significant holdings in the Issuer. This included 16,658,500 common shares, which represented approximately 10.3% of the then issued and outstanding shares on an undiluted basis. Additionally, he controlled 7,375,000 share purchase warrants and 150 unsecured convertible notes. These notes carried a 5% interest and were convertible into units at a deemed price of $0.02 per unit. Each unit consisted of one common share and half a share purchase warrant. Following the sale of 16,000,000 shares, Van Empel’s direct beneficial ownership and control now consists of 658,500 common shares, 7,375,000 share purchase warrants, and 150 convertible notes. On an undiluted basis, these shares represent approximately 0.4% of the current 161,505,827 issued and outstanding shares. On a partially diluted basis, assuming the conversion of all his warrants and notes, his holdings represent approximately 10.7% of the 180,130,827 issued and outstanding shares.
