(TSXV: KNX) (“Knick”) is pleased to announce the final closing today of its non-brokered private placements of units and flow-through shares for an aggregate amount of $266,415. Together with the closing announced on December 15, 2016, Knick raised an aggregate amount of $1,162,915. A director of Knick participated in the placements for an amount of $25,000.

 

An amount of $65,000 was raised in the unit financing, pursuant to which Knick issued 1,300,000 common shares at a price of $0.05 per share, as well as 1,300,000 common share purchase warrants (each a “Warrant”), each Warrant entitling its holder to purchase a common share at a price of $0.08 for a period of 12 months.

 

An amount of $201,415 was raised in the flow-through financing, pursuant to which Knick issued 4,028,300 flow-through common shares at a price of $0.05 per share.

 

In connection with the 2 placements, Knick paid finders fees of $19,141 and issued 382,815 finder warrants, each finder warrant entitling its holder to purchase a common share at a price of $0.08 for a period of 12 months.

 

The proceeds of the placements shall be used for exploration work on the East-West property and for working capital.  The securities issued pursuant to the placements, which have received the conditional approval of the TSX Venture Exchange, shall be subject to a 4 month and 1 day hold period.

 

Following the closings of the 2 private placements, there are currently 106,081,168 common shares of Knick issued and outstanding.
