June 3, 2025 – TheNewswire - Vancouver, BC – DiagnosTear Technologies Inc. ("DiagnosTear" or the “Company”) is pleased to announced a non-brokered private placement of 1,400,000 units (“Units”) at a price of $0.50 per Unit for aggregate gross proceeds of $700,000 (the “Offering”).
Each Unit will consist of one common share of the Company (a “Common Share”) and one common share purchase warrant (a “Warrant”). Each Warrant will be exercisable to purchase one Common Share at an exercise price of $1.00 for a term of eighteen (18) months from the closing date of the Offering.
No finder’s fees will be paid in connections with this offering.
The net proceeds of the Offering will be used for the Company’s working capital and general corporate purposes.
All securities issued in connection with the Offering will be subject to a statutory hold period expiring four months and one day after the issuance thereof.
None of the securities sold in connection with the Offering will be registered under the United States Securities Act of 1933, as amended, and no such securities may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
