Vancouver, British Columbia – TheNewswire - March 5, 2020, Sharon Field (the “Acquiror”) makes the following announcement in accordance with National Instrument 62-103 The Early Warning System and Related Take Over Bids and National Instrument 62-104 Take-Over Bids and Issuer Bids.

The Acquiror advises that on February 25, 2020, she acquired beneficial ownership of, and control over 517,117 common shares (each, a “Common Share”) in the capital of Cava Healthcare Inc. (the “Issuer”) for an aggregate purchase price of $42,281 (the “Acquisition”). The Acquisition was made pursuant to private share purchase agreements dated February 25, 2020, whereby 0991843 B.C. Ltd., a corporation owned and controlled by the Acquiror, acquired 41,500 Common Shares from Chateau Jing Capital Inc. at a price of approximately $0.08 per Common Share and 475,617 Common Shares from Chiron Capital Inc. at a price of approximately $0.08 per Common Share. The Common Shares are not listed for trading on a stock exchange or other market that represents a published market for securities.

Immediately before the completion of the Acquisition, the Acquiror did not beneficially own or control any Common Shares. As a result of the Acquisition, the Acquiror beneficially owns and has control over 517,117 Common Shares representing approximately 19.57% of the currently issued and outstanding Common Shares.

The Acquiror acquired the Common Shares for investment purposes. However, the Acquiror will review her holdings from time to time and may, in the future, increase or decrease her ownership or control over securities of the Issuer as circumstances dictate.
