Pambili Announces Update To Application For Management Cease Trade Order

Calgary, Alberta, May 05, 2025 TheNewswire - Further to its news release dated April 29, 2025, Pambili Natural Resources Corporation (“Pambili” or the “Company”) (TSXV: PNN) announces that it intends to file the Documents (as defined in the previous news release) on Friday June 27, 2025. No decision has yet been made by the ASC on the application for a Management Cease Trade Order (“MCTO”). The ASC may grant the application and issue the MCTO, or it may impose an issuer cease trade order if the Documents are not filed in a timely fashion.

During any period of default and until the filing of the Documents on June 27, 2025, the Company intends to satisfy the provisions of the alternative information guidelines as required by National Policy 12-203 Management Cease Trade Orders.

Until the Company has filed the Documents on June 27, 2025, members of the Company’s management and other insiders are subject to an insider trading black-out policy as per its internal Insider Trading Policy that is consistent with the principles in Section 9 of National Policy 11-207 - Failure-to-File Cease Trade Orders and Revocations in Multiple Jurisdictions.

The Company confirms that it is not subject to any insolvency proceedings and intends to file with the CSA regulators throughout the period in which it is in default, the same information it provides to its creditors when that information is provided to the creditors and in the same manner as it would file a material change report under part 7 of National Instrument 51-102 Continuous Disclosure Obligations.

Pambili also confirms that other than as disclosed in prior news releases and material change reports, there have been no material business developments since the filing on November 29, 2024, of the Company’s latest interim financial reports for the period ended September 30, 2024.
