Commercial launch underway through exclusive U.S. and Canada licensing deal; FacialDx NIMS™ clinical program advances toward Australian feasibility study; Company pursuing clinical funding structure designed to avoid further shareholder dilution
NEW YORK, NY – TheNewswire - October 1, 2026 - Synbio International, Inc. (OTC: SYIN) (“Synbio” or the “Company”), an emerging healthcare company, provides a shareholder update from Chief Executive Officer Claudio Solitario.
The Company is executing a dual-track strategy that combines a revenue-focused consumer wellness business with a potentially transformative AI-driven medical technology: NIMS™ (Non-invasive Medical Screening), a facial-analysis platform developed by FacialDx Inc. and being evaluated as an objective screening aid for mental health conditions including depression and post-traumatic stress disorder.
Key Highlights
-
Commercial operations launching: Synbio’s Healing Force™ nutraceutical division is proceeding with Healing Force™ Anxiety Relief as its first planned consumer product.
-
Exclusive U.S. and Canadian rights: A licensing, manufacturing, supply and revenue-sharing agreement with MD PHD Wellness, Inc. gives Synbio exclusive commercialization rights, while its partner handles development, manufacturing and quality assurance.
-
AI mental health screening: Synbio holds a Clinical Trial License Agreement with FacialDx for the NIMS™ platform and a Master Services Agreement with a subsidiary of ASX-listed Resonance Health Ltd. for an Australian proof-of-concept study.
-
Strategic equity position: Executed agreements provide for a staged investment in FacialDx, with rights, subject to conditions, to convert certain clinical trial spending into additional FacialDx equity.
-
Shareholder-conscious financing: Synbio has allocated funding towards its nutraceutical operations, and the Company is pursuing a clinical-program financing structure that, if completed as contemplated, would not further dilute existing shareholders.
A Massive, Underserved Market
According to the World Health Organization, more than one billion people worldwide live with a mental health condition, and depression and anxiety alone cost the global economy an estimated US$1 trillion a year in lost productivity. Yet screening still relies largely on subjective questionnaires and self-reporting. NIMS™ analyzes facial imagery and signals to identify features that may be associated with conditions such as Major Depressive Disorder and PTSD, and is designed to supplement, not replace, clinical judgment.
If validated and authorized for its intended use, Synbio believes a rapid, non-invasive screening tool could find applications beyond the clinic, in safety-sensitive industries such as aviation and emergency services, where objective mental health screening is increasingly in demand.
“We are building a balanced company: a commercial business that can generate revenue and support operations, alongside a healthcare technology opportunity with the potential to be far larger,” said Claudio Solitario, CEO of Synbio International. “Healing Force™ gives us a path to near-term revenue. NIMS™ gives our shareholders exposure to AI-enabled mental health screening, a field where objective tools are badly needed. We know that execution, not announcements, will define our credibility, and our focus is on delivering measurable milestones.”
Healing Force™: The Near-Term Revenue Engine
Launched August 11, 2026, Healing Force™ marks Synbio’s entry into commercial operations. Under its agreement with MD PHD Wellness, Synbio controls branding, marketing, sales and distribution while its partner provides established product development, manufacturing and supply-chain capability, a capital-efficient model that avoids building costly infrastructure in-house. The agreement also creates a framework to add further wellness products over time.
Synbio is building a data-driven, direct-to-consumer platform for the brand, combining targeted digital advertising, educational content, retargeting and select micro-influencer programs. The goal is to measure customer response, optimize marketing spend and build a proprietary customer database to drive repeat purchases and future product launches.
NIMS™: A Clear Clinical Pathway
The next milestone for the FacialDx program is a focused feasibility study in Australia using retrospective clinical data, providing a relatively short pathway to assessing whether NIMS™ delivers reliable, repeatable results. Unlike conventional screening approaches that rely heavily on questionnaires and self-reporting, NIMS™ uses AI analysis of facial imagery and visual biomarkers to identify features that may be associated with behavioral and mental health conditions. Subject to positive outcomes, Synbio intends to advance to a larger prospective validation study in the United States and to engage with regulators on the appropriate pathway. Management has emphasized that its priority is generating credible clinical evidence.
Milestones Ahead
-
Complete Healing Force™ commercial launch infrastructure and build customer traction toward revenue
-
Initiate the NIMS™ feasibility study in Australia, subject to final study arrangements and funding
-
Finalize financing for the clinical program on terms designed to limit dilution
-
Evaluate opportunities to reduce or restructure outstanding obligations to strengthen the capital structure
-
Launch a structured market-visibility program to keep shareholders and prospective investors informed
The market-visibility program will support more consistent communication with existing shareholders while broadening awareness of Synbio among prospective investors through regular social-media content, digital investor outreach and distribution across established financial media and press networks.
