Timmins, Ontario – TheNewswire - September 2, 2025 – Claude Malette (the “Acquiror”) announces that he has filed an early warning report (the “Report”) announcing the acquisition (the “Acquisition”) of an aggregate of 5,000,000 (the “Acquired Securities”) in the capital of Loyalist Exploration Limited (the “Issuer”) upon the Issuer’s closing today of its private placement and shares for debt transactions. Prior to the Acquisition, the Acquiror beneficially owned or controlled, directly or indirectly, an aggregate of 26,000,000 Shares and 11,000,000 Share purchase warrants (“Warrants”), of which 11,000,000 Warrants are subject to a provision whereby the holder may not exercise such Warrants if such exercise would result in the holder beneficially owning or controlling, directly or indirectly, an aggregate of 10% or more of the issued and outstanding common shares of the Issuer on a non-diluted or partially diluted basis, representing approximately 9.87% of the Issuer’s issued and outstanding Common Shares on an undiluted basis and approximately 12.62% of the Issuer’s issued and outstanding on a partially diluted basis. Following the Acquisition, the Acquiror beneficially owns or controls, directly or indirectly, an aggregate of 31,000,000 Shares and 16,000,000 Warrants, representing approximately 10.99% of the Issuer’s issued and outstanding Common Shares on an undiluted basis and approximately 15.76% of the Issuer’s issued and outstanding on a partially diluted basis.

The Acquired Securities were acquired for investment purposes. Depending on market and other conditions, Mr. Malette may from time to time in the future increase or decrease their ownership, control or direction over securities of the Issuer, through market transactions, private agreements, or otherwise.
