SALi Lithium Closes First Tranche of Private Placement

Vancouver, B.C. TheNewswire - June 18, 2025: SALi Lithium Inc. ("SALi" or the "Company") - (CSE: SALI) is pleased to announce the closing of the first tranche of its previously announced non-brokered private placement (the “Offering”) (see news releases of May 15, 2025 and June 16, 2025) for aggregate gross proceeds of CAD$784,001. The Company issued 4,060,000 hard dollar units (“HD Units”) of the Company, at a purchase price of $0.125 per HD Unit and 1,843,340 flow through units (“FT Units”) of the Company, at a purchase price of $0.15 per FT Unit. Each HD unit is comprised of one common share in the capital of the Company and one share purchase warrant (“HD Warrant”) exercisable into one common share at an exercise price of $0.25 per share for 24 months from closing, subject to accelerated expiry under certain conditions. Each FT Unit is comprised of one common share issued on a flow-through basis pursuant to the Income Tax Act (Canada) (“FT Shares”) and one-half of one common share purchase warrant (“FT Warrant”). Each whole FT Warrant is exercisable to acquire one common share at an exercise price of $0.25 for a period of 12 months from closing. All securities issued and issuable under the Offering are subject to a statutory hold period of four months and one day from the date of issuance. The Company paid a finder’s fee to Ventum Financial Corp consisting of $38,800 in cash and 308,800 non-transferable broker warrants otherwise on the same terms as the HD Warrants.
The net proceeds from the HD Units will be used to fund approximately $200,000 of additional exploration on the Company’s project in Argentina and for general working capital purposes. The gross proceeds from the FT Shares will be used to incur Canadian eligible resource exploration expenses that will qualify as “Canadian exploration expenses” as defined in the Income Tax Act (Canada) on the Company’s mineral interests in Quebec, Canada.
