Canadian Uranium Announces Filing Of Amended And Restated Financial Statements And MD&A
Vancouver, British Columbia – August 20, 2026 – TheNewswire - Canadian Uranium Corp. (CSE: CANU) (the “Company”) announces that, pursuant to Section 11.5 of National Instrument 51-102 – Continuous Disclosure Obligations, and as a result of a continuous disclosure review by the BC Securities Commission (the “BCSC”), it has amended, restated and refiled its: (i) unaudited condensed interim consolidated financial statements for the three months ended March 31, 2026 (the “Interim Financial Statements”), and (ii) the related management’s discussion and analysis (the “MD&A”, and together with the Interim Financial Statements, the “Restated Documents”).
Following review by the BCSC, it was determined that assumptions made under International Financial Reporting Standards for calculating the fair value of the share price of common shares in the capital of the Company issued as consideration for the acquisition of Impact Uranium Group Ltd. (“Impact”) needed to be revised. Specifically, the fair value of the 8,255,187 common shares issued as consideration for the acquisition of Impact has been revised to reflect the Company’s closing share price on the acquisition date of March 17, 2026, in compliance with IFRS 3 – Business Combinations. In addition, disclosures within the MD&A have been revised to consistently state that the acquisition of Impact was completed on March 17, 2026, correcting a previous discrepancy.
The effect of the restatement does not impact the Company’s Condensed Interim Consolidated Statements of Loss and Comprehensive Loss or the Condensed Interim Consolidated Statements of Cash Flows for the three months ended March 31, 2026. Please refer to Note 14 of the Interim Financial Statements for further details regarding the restatement.
The Restated Documents are available under the Company’s profile on SEDAR+ at www.sedarplus.ca. The Restated Documents replace the previously filed condensed interim consolidated financial statements and MD&A for the three months ended March 31, 2026, originally filed on May 28, 2026, and such previously filed documents should no longer be relied upon.
